本研究では，資本市場のモデルにおいて多国籍企業の租税回避と所在地別セグメントの開示行為の関係を分析する。とくに，経営者が合理的にセグメント情報を非開示にする条件および租税回避を積極的におこなう条件を明確にする。具体的には，(1) SFAS131の導入によって，セグメント情報を非開示にし，かつ租税回避に積極的になった企業はどのような企業か，(2) 国別報告書（CbCR）が導入された場合，企業行動はどのように変化するか，(3) 経営者のキャリア・コンサーンと租税回避の関係を明らかにする。本研究では多期間モデルを想定し，株価を気にする経営者が努力水準と租税回避の水準を各国（各セグメント）に割り当てる問題を考える。経営者は主に2つのインセンティブをもち，１つは経営者自らの能力を資本市場に示したいという株価最大化目的，もう１つは税引後の利益を最大にしたいという租税回避目的である。このようなモデル設定において，経営者はある状況下において税引後利益の最大化と株価最大化のあいだでトレードオフに直面する。本研究の主要な結果は以下のとおりである。(1) 2国間の税率差がない場合，経営者に租税回避インセンティブはないが，それでも合理的にセグメント情報を非開示にする。(2) SFAS131適用により，高税率国の利益精度が高い状況に直面している経営者は，セグメント情報を非開示にし，かつ積極的に租税回避をおこなう。(3) 国別報告書（CbCR）の義務付けは，セグメント利益情報の自発的開示を促す可能性がある。(4) 経営者は，自身の能力に対する情報精度が低いとき，より租税回避に積極的になる。 This paper analytically investigates the relationship between tax avoidance and manager's disclosure choice of geographic earnings in a capital market setting. In particular, we identify the conditions under which managers withhold segment earnings and avoid tax payment by shifting income from high-tax to low-tax country. More specifically, we examine (1) the firm characteristics withholding geographic segment information and engaging more in tax avoidance after the implementation of SFAS 131, (2) the effect of implementing CbCR, and (3) the dynamic aspects of tax avoidance. Our main results are as follows: (1) when the countries have the same tax rate, the manager rationally withholds segment earnings in spite of the fact that there is no tax-avoidance incentive for the managers, (2) after the adoption of SFAS 131, the companies that face high precision of earnings in high tax country withholds segment earnings and increase the level of tax avoidance, (3) Imposing CbCR may induce the companies to voluntarily disclose their segment eanings, and (4) the manager engages more in tax-avoidance activity immediately after the turnover (when the capital market can not expect the manager's ability accurately).
