創業者一族が株式保有や経営への参加を通じて強い影響力を持つファミリー企業では、Jensen and Meckling [1976]などが焦点としてきた経営者と株主の間の利益相反は大きな問題とはいえない。一方で、Shleifer and Vishny[1997]が指摘するように支配株主と外部投資家の間の利益相反が問題となるとされている。そのため、社外取締役や機関投資家など外部からのガバナンスが必要と考えられる。本研究では大株主である創業者一族と少数株主間でのエージェンシー問題が日本においても起きているのかを、経営者との関連当事者取引を分析することにより検証した。そのために、上場企業2,000社の2005年度から2010年度の6年間にわたる経営者と会社間での関連当事者取引約3,500件のデータを収集した。経営者との関連当事者取引は約3,500件の取引が確認出来たが、そのうち94％の取引はファミリー企業で行われていた。そして少なくとも一件の関連当事者取引が行われている企業の比率はファミリー企業が9.2％であったのに対して非ファミリー企業は0.5％であった。次に、関連当事者取引が配当政策に対する影響を分析した。ファミリー企業において関連当事者取引を通じて創業者一族だけが資金を得る手段がある場合、創業者一族以外の少数株主にも資金を分配することになる配当を行うインセンティブは低くなると考えられる。分析の結果は、この推測と合致するものであり、経営者との関連当事者取引を行っているファミリー企業では配当水準が低い傾向が見られた。加えて、株式市場における評価を反映したトービンのｑに関連当事者取引がどのような影響を与えているかを分析した。分析結果は、創業者一族の持株比率が低く、なおかつ関連当事者取引を行っているファミリー企業のトービンのqは取引を行っていないファミリー企業よりも有意に低く、資本市場において関連当事者取引を行っているファミリー企業は低く評価されていた。 In family firms, where the founding family has strong influence through shareholdings and participation in management, conflicts of interest between managers and shareholders are not a major problem. On the other hand, conflicts of interest between controlling large shareholders and minority shareholders are considered to be a problem (Shleifer and Vishny, 1997). Therefore, external governance such as outside directors and institutional investors is considered necessary. We examine whether agency problems between the founder's family, the major shareholder, and minority shareholders are occurring in Japan. For this purpose, this study examines related party transactions in Japan. We made a database of related party transactions for listed Japanese firms from 2005 to 2010. We find most of the related party transactions are concentrated in family firms which are controlled by the founding family through ownership and management positions. Family firms with related party transactions tend to pay lower dividends and have lower valuations. These results suggest that related-party transactions in family firms are used as one means of tunneling in Japan.
