会社分割・事業譲渡において債権者をどう保護するべきか、わが国では濫用的会社分割の頻出を受けて、検討の重要度が増大している。本研究では米国法を比較法的対象として、近年理論的な再構成が一部学者から唱えられている事後規制たる承継者責任や、ソルベンシー・オピニオンによる事前規制についての検討を行った。前者については、承継者責任による債権者保護が組織再編の柔軟性と衝突しうるのは限定的な場面のみであるとの示唆を得、後者については近年の米国におけるオピニオンの公平性・中立性をいかに担保するかという議論に着目し、わが国会社法でも、オピニオン導入時には公平性等を確保するための制度設計が必要との結論を得た。
In Japan, there have been frequently abusive corporate split (spin-off) in recent years. How the law should protect corporate creditors in spin-off and sale of assets? This study focus on successor liability in product liability and solvency opinion in spin-off and sale of assets. In recent arguments about successor liability, collision of alienability of corporate assets and creditor protection is limited to case of risk allocation between corporate creditor and successor. And, there is the problem about neutrality in solvency opinion. In Japanese law, the prospects for performance of obligations of company in spin-off also need to be unbiased solvency opinion.
