研究成果の概要 (和文) : 「コーポレートガバナンス」という概念を、「企業の利害関係者間(ステークホルダー間)に存在する様々な外部性を内部化し解決する仕組みの総称」と捉え、「契約理論」「ゲーム理論」の分析ツールを用いて、ガバナンスの仕組みの本質を明らかにする理論的研究を行った。また、研究のアイディアは「ガバナンス論」一般に応用可能であるため、積極的にアイディアを発展させる研究も進めた。
研究成果の概要 (英文) : We considered the concept of 'Corporate Governance' as a device for internalizing and solving various externalities existing among stakeholders of the firm, and advanced the theoretical study which unraveled the essence of the governance mechanism, by using the analytical tools of Contract Theory and Game Theory. Since our definition of "governance" has general application, we also advanced the research which developed the idea extensively.
