Alternative TitleTechnological capability building trajectory in late-comer firms leveraging external resources: the case of Geely Auto's M&A and Alliance growth strategy
Note (General)今日において、中国後発企業は激化する国際競争の中で、失速・淘汰されつつある先発企業を買収することによって、かつての日韓後発企業より短期間で技術能力成長の機会を作り出している。しかし、技術知識や経営経験の蓄積が相対的に不十分な中国後発企業発のM&Aでは、組織統合と組織併存を同時に求めるために、複雑・困難なものになりつつありながら、かつての日韓後発企業と異なる制約条件を克服するために、新たな組織学習メカニズムの工夫を求められていると考えられる。本論文では、吉利汽車の技術能力構築過程の事例研究に基づいて、後発企業が外部経営資源の活用を通じて短期間で技術能力を構築する上で、複雑・困難なものになりつつあるM&A経営課題を解決するマネジメントと、厳しい新たな制約条件を乗り越えるための組織学習メカニズムについて考察した。その結果、M&Aを通じて外部経営資源を獲得する際に、複雑・困難なものになりつつあるM&A経営課題を解決するマネジメントとして、ある時点で統合すべき焦点を戦略で定め、統合すべき焦点をダイナミックに変動させる限定された統合マネジメントは有効であり、それを実現する上で組織間交流システムの構築が重要であることを明らかにした。また、獲得されたそれぞれの経営資源を組織内部で伝達して活用する際に、人材不足と高い離職率という制約条件を乗り越えるために、技術以外のファンクション出身者も含めて、限定された組織上層部成員に、短期間で多くの立ち上げ業務を担当させることで育成されたコア人材の役割が重要であること、及び現場オペレーターを育成する上で、入社前にオペレーターを育成する産学連携教育システムの構築がカギとなっていることを明らかにした。
Chinese latecomer firms are growing rapidly by leveraging external knowledge by M&A and strategic Alliance compared to Japanese and South Korean latecomer firms in last centuries. However Chinese latecomer firms at a competitive disadvantage need to maintain assimilation and separation simultaneously after the establishment of M&A for achieving managerial synergy and minimizing emergent organizational conflicts, while requires a new trajectory of organizational learning capability building mechanism because of the high employee turnover rate and human resources shortage in China. This paper will embark on an investigation to show how it could be possible for latecomer firms in China to accomplish a fast development by the successful adoption of the external resource, illustrated by a single case study approach of Zhejiang Geely Group Holding Co. Ltd. This research finds that ‘Limited Integration Mode’ clear the limited content of integration and adjust it dynamically to acquire external resources, limited core members who are responsible to double-loop learning transfer from existing units to newly formed unit and operators who are responsible to Single-loop learning trained by dedicated education system intensified organizational learning capability to distribute and utilizate various acquired external resources among organizational units, play an important role in Chinese latecomer firms to avoid high employee turnover rate and human resources shortage, build up technological capability rapidly.
